Terms of Service

Please read these Terms of Service (“Terms”) carefully before using Stoopkeep (“Service”), operated by DiffBeam Studios (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using any part of the Service, you confirm that you are at least 18 years old, have the authority to enter into these Terms, and agree to comply with them. If you do not agree, do not use the Service.

2. Description of Service

Stoopkeep is a property management tool designed for US-based landlords. It provides features including expense tracking, AI-assisted receipt scanning, tenant maintenance request management, and tax reporting exports (including IRS Schedule E formatted CSV files). The Service is provided on an “as is” basis and is intended for personal or small-business use.

3. User Accounts

You must create an account to access most features. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at stoopkeep@diffbeam.com of any unauthorized use. We reserve the right to terminate accounts that violate these Terms.

4. Subscription and Billing

The Service offers a Free plan and a paid Pro plan. The Free plan provides access to core features at no cost. The Pro plan is available on a monthly or annual subscription basis and unlocks additional features including unlimited AI receipt scans and full Schedule E CSV export.

• Subscriptions are billed in advance and renew automatically unless cancelled.
• All payments are processed by our third-party payment provider, Paddle.
• You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period; you retain Pro access until then.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Upload malicious code, viruses, or any content that could harm the Service or other users.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service.
• Use the Service to store or transmit infringing, defamatory, or otherwise unlawful content.
• Resell, sublicense, or otherwise commercialize access to the Service without our written consent.

6. Intellectual Property

The Service and all its original content, features, and functionality are owned by DiffBeam Studios and are protected by applicable intellectual property laws. Your data remains yours — we claim no ownership over the expense records, receipts, or other content you upload.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We take the security of your financial data seriously. Please review the Privacy Policy for details on how we collect, use, and protect your information.

8. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Stoopkeep is a record-keeping tool; it does not provide legal, tax, or financial advice. Always consult a qualified tax professional regarding your specific situation.

9. Limitation of Liability

To the fullest extent permitted by law, DiffBeam Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or lost profits, arising out of or in connection with your use of the Service. Our total liability to you for any claim arising from or related to the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

10. Termination

We may suspend or terminate your account at our sole discretion if you breach these Terms or engage in conduct we deem harmful to the Service or other users. You may terminate your account at any time by contacting us at stoopkeep@diffbeam.com. Upon termination, your right to use the Service ceases immediately.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
